Protecting Confidential Information in Financial Journalism Services

When engaging a financial journalist to provide writing, analysis, or editorial services, safeguarding sensitive information is essential. This Non-Disclosure Agreement (“Agreement”) outlines how confidential materials are managed to ensure trust, compliance, and professional integrity.


1. Purpose of the Agreement

This Agreement establishes the terms under which the Journalist agrees to protect all confidential information shared by the Client (the financial company). It ensures that proprietary data, internal documents, communications, and insights provided for the project remain strictly private and are used only for the specific services requested.


2. Definition of Confidential Information

“Confidential Information” includes, but is not limited to:

  • Non-public financial data, forecasts, or reports

  • Strategic plans, research materials, or investor communications

  • Client lists, internal memos, or unpublished analyses

  • Drafts or documents produced during the engagement

  • Any information marked or understood to be confidential

Confidential Information does not include information already publicly available, lawfully obtained independently, or disclosed with written permission.


3. Obligations of the Journalist

The Journalist agrees to:

  • Use all confidential information solely for delivering the agreed-upon writing, editing, or research services

  • Not disclose confidential information to any third party without written consent

  • Protect all information with reasonable security measures

  • Return or securely delete confidential materials upon completion of the engagement

  • Notify the Client immediately in the event of any unauthorized access or disclosure


4. Ownership of Work

Unless otherwise agreed in writing:

  • All work products (drafts, reports, articles, analyses, and research notes) created during the engagement become the property of the Client.

  • The Journalist retains no rights to publish, reproduce, or share the work or its underlying data.


5. Duration of Confidentiality

Confidentiality obligations remain in effect:

  • During the entire period of collaboration, and

  • For a set period (typically 2–5 years) after the engagement ends, or

  • Indefinitely for trade-secret-level information, if applicable.

The exact duration can be defined by mutual agreement.


6. Exceptions

The Journalist may disclose confidential information only if required by law, regulation, or court order—and must notify the Client promptly when such disclosure is legally permissible.


7. Professional Conduct

The Journalist agrees to uphold:

  • Ethical standards of financial reporting

  • Accurate representation of information provided

  • Full compliance with applicable financial, privacy, and market-sensitivity regulations


8. Agreement and Acceptance

By working with the Journalist or commissioning services, both parties acknowledge and agree to the confidentiality terms outlined in this NDA. A full, legally binding signed version can be provided upon request before the project begins.
